PRODUCT USE LIMITATION

CanCELL KO it kits

BEFORE OPENING OR USING CanCELL KO it kits (the « PRODUCT »), PLEASE READ THE TERMS AND CONDITIONS SET FORTH IN THIS PRODUCT USE LIMITATION. YOUR USE OF THE PRODUCT CONSTITUTES ACKNOWLEDGEMENT AND ACCEPTANCE OF THE PRODUCT USE LIMITATION.

1. INTELLECTUAL PROPERTY.

The Product, its use and the use of the cells or organisms derived therefrom, are covered by the following patent rights:

- family of patents WO2011072246 (included but not limited to patents: US Patents #8,450,471, # 8,440,431, # 8,440,432, # 8,586,363)  owned by the University of Minnesota and the University of Iowa, and exclusively licensed to CELLECTIS (Cellectis bioresearch’s parent company) and its affiliates; 

- families of patents : WO2013017950, WO2012058458 and WO2013009525 owned by CELLECTIS.

2. FIELD OF USE.

The Product and its derivatives shall be used for RESEARCH and COMPOUNDS TESTING use only and shall not be used in (i) plant and (ii) pigs, cattle, and sheep (the « Field of Use »).

“Research” means the generation of knowledge regarding natural biological mechanisms, as well as functions of genes, mechanism of action studies and/or target validation. “Compounds Testing” means the test of less than 10, 000 compounds in performing the Research activity.

The Field of Use excludes without limitation (a) commercial activities; (b) Drug Discovery (i.e. the screening, the identification, the selection and the profiling of molecule with the use of a Product), (c) production of chemical and /or biological entities (such as but not limited to proteins or monoclonal antibodies); (d) modification of the features of a biological entity (such as, but not limited to, fucosylation, glycosylation, humanization); (e) diagnostic, therapeutic and/or prophylactic treatment of humans or animals; (f) use of the Product and/or its derivatives as therapeutic or diagnostic product.

All or part of the Product shall not be used for consumption by or use in connection with or administration or application to humans. All or part of the Product shall not be reproduced, modified, reverse engineered. The use of the Product and its derivatives is internal and personal to the Customer and cannot be transferred or sold to any third party.

3. LICENSES.

Any use of the Product and its derivatives outside of the Field of Use require a separate license agreement from Cellectis bioresearch or its affiliates companies.

Each candidate customer intending to use the Product with the teachings of the US Patents # 6,528,313, # 6,638,768, # 6,528,314, covering certain uses of the homologous recombination, shall enter into separate license agreement with Cellectis bioresearch or its affiliated companies.
